Minutes

1. Jon took attendance.
2. Steve opened the meeting in prayer.
3. People gave personal and professional updates.
4. The December 2021 meeting Minutes were amended to reflect attendance for December meeting, and unanimously approved.

6. Board reviewed financial report.
7. Jon presented the high-level of the board structure proposal, and got the go ahead to move into a more detailed detailed buildout. An action item was assigned to Steve and Jason to discuss the high level purpose of the boards.
8. Jon gave an update on the phase 2 staffing plan.
9. Jon presented the Compensation data report. An action item was assigned to Jon, Jason, and Pete to meet and discuss next steps.
10. Nicole was assigned the action step of scheduling a preliminary meeting with a lawyer to begin a re-draft of our bylaws, updated to reflect the present realities of the organization.
11. The board decided to remove the PPP loan from the issues list, considering it a resolved item.
12. The meeting was rated and adjourned at 5:38.
